Assignment of a developer agreement selling before handover

Bought an apartment off-plan and want to sell it before handover? Transferring your rights under the developer agreement (umowa deweloperska) to a new buyer is an assignment – cesja in Polish. We check on what terms the developer agrees to it, help set the price, find a buyer and take the matter to the assignment agreement.

How we work

  1. Reviewing the agreement We check what your developer agreement says about assignment: whether the developer’s consent is needed, what it costs and whether there are restrictions – for example until a certain share of the price is paid.
  2. Price We compare your price with the developer’s current price list and offers nearby, taking into account the payments made up to the assignment date.
  3. Buyer We prepare the offer and look for a buyer – including among our clients looking for an apartment in that area.
  4. Assignment agreement We agree the terms with the buyer and the developer; an assignment of rights under a developer agreement is usually signed before a notary.

What you get

  • Assignment terms in your agreement we check the clauses on the developer’s consent and the assignment fee before you list the apartment.
  • A realistic price compared with the developer’s price list and offers nearby – with no promise of profit, as the result depends on the market.
  • We look for a buyer an offer and viewings, also for clients from our database.
  • Up to the assignment agreement we help gather the documents and agree how the payments are settled between you, the buyer and the developer.

An assignment depends on the developer’s consent and the terms of your agreement – we do not guarantee a sale, a price or a profit.

Developer’s consent, fee and tax

  • Consent and fee Many developer agreements require the developer’s consent to an assignment, and developers often charge a fee for it – a fixed amount or a percentage of the price. Sometimes an assignment is possible only after a certain share of the price has been paid. We check these terms at the start.
  • Mortgage If the apartment is being bought with a mortgage, the assignment also requires arrangements with the bank – yours and the buyer’s.
  • Tax Selling the rights under the agreement within 5 years may mean income tax, and the buyer may pay PCC – it depends on the situation. We do not give tax advice: the rules are on podatki.gov.pl – sale of property and rights (in Polish), and for your specific case it is worth asking a tax adviser.

We agree the terms individually – we will give you the details after our conversation.

Frequently asked questions

What is an assignment (cesja) of a developer agreement?

It is the transfer of the rights and obligations under a developer agreement to a new buyer before the handover and the deed transferring ownership. The buyer takes your place in the agreement and settles with you for the payments you have made.

Does the developer have to agree to the assignment?

Usually yes – many developer agreements require the developer’s consent, and a fee is charged for the assignment. The exact terms are in your agreement; we check them at the start.

Is tax payable on an assignment?

If you sell the rights within 5 years, income tax may be due, and the buyer may pay PCC. We do not give tax advice – the rules are on podatki.gov.pl, and for your specific case it is worth asking an adviser.

Will I make a profit on the assignment?

We cannot promise that. The result depends on your purchase price, the developer’s current prices and the market, the assignment fee and taxes. We will help you work out whether selling before handover makes sense.

How much does your help with an assignment cost?

We agree the terms individually – we will present them after a conversation and a review of your agreement.
